Job Summary:

As a Contracts Analyst, you will work as a key member of a dedicated contracts team and will be responsible for drafting, reviewing and negotiating a wide variety of commercial contracts related to the operations of Vail Resort’s corporate, mountain and hospitality divisions. This will include contracts for construction, purchases of goods, services and equipment, special events, software licensing, marketing, consulting arrangements, and hospitality bookings. You will be responsible for effectively communicating the importance and intent of all required terms and conditions to both internal and external stakeholders. Having the ability to prioritize multiple tasks & high volume of contractual negotiations simultaneously is crucial to the success of this role. The Contracts Analyst also leads and assists in the development of standard contract forms, manages configuration and use of Vail Resort’s contracts management system, trains employees on contracting issues and procedures, and leads other special projects as needed. The Contracts Analyst will work in conjunction with in-house counsel and other members of the Contracts Team.

Job Responsibilities:

  • Review, draft, negotiate and analyze a wide variety of commercial contracts.
  • Negotiate all key terms of the commercial contracts, including but not limited to Legal and business terms to provide the appropriate level of risk mitigation as well as drive value for the enterprise.
  • Regularly communicate with internal team members and business partners to draft and negotiate pertinent provisions and accurately memorialize specific terms and conditions into appropriate scopes of work, service agreements or similar documents.
  • Interpret and explain contractual terms, conditions, rights and obligations to business staff and, with the assistance of Legal Counsel, convey recommendations with respect to specific contractual provisions.
  • Identify areas for process improvement and assist in developing best practices for contracting across the Company, including drafting and updating form agreements and contracting provisions.
  • Manage multiple high visibility, high priority contracts/projects on a regular basis and closeout a variety of initiatives expeditiously with minimal oversight.
  • Educate business partners on the process for contract review.


Job Qualifications:

  • Bachelor’s Degree from accredited college or university.
  • Minimum 3+ years of contract management experience in similar role.
  • Experience reviewing, drafting and preparing a wide variety of purchase and service agreements.
  • Strong communication skills (verbal and written), and a service-oriented mindset and ability to work with individuals at all levels within the company.
  • Proficient in document filing and repository systems, with experience using an enterprise contracts management tool (Conga or Ariba for example).
  • Demonstrated computer proficiency, including proficiency with Microsoft Office (including Word, Excel, PowerPoint, Teams, SharePoint, and Outlook), as well as the ability and desire to learn and use other systems and databases such as Smartsheet or Tableau.
  • Creative problem solver with good organizational, project management, and time management skills.
  • Ability to succeed working independently and as part of a collaborative team.
  • Capacity to anticipate problems and key issues and to exercise sound judgment in making reasonable decisions and appropriately escalating issues when necessary.

  • Must maintain strict confidentiality.


Preferred:

  • Certified Commercial Contracts Manager (CCCM) is a plus.
  • Experience advising senior leadership in a corporate environment.
  • Proven ability to effectively organize projects while keeping up with daily workload and demands from multiple sources.
